§1. General provisions

These Terms of Service govern the provision of electronic services available at the Proompi website at https://www.proompi.com (hereinafter: "Service" or "Platform").

The Service Provider (also: "Proompi" or "we") is: ENGIT spółka z ograniczoną odpowiedzialnością (ENGIT Ltd.), registered office: ul. Stefana Jaracza 39, 33-100 Tarnów, Poland, entered in the National Court Register (KRS) under number 0001109234, NIP (tax ID): 8733296963, REGON: 528839231, share capital: PLN 5,000.00, e-mail: hi@proompi.com, data protection: privacy@proompi.com.

These Terms are made available to Users free of charge at https://www.proompi.com/legal/terms in a manner that allows them to be downloaded, reproduced and saved.

Acceptance of these Terms is voluntary but constitutes a prerequisite for creating an Account and using paid features of the Service.

§2. Definitions

  1. User — a natural person with full legal capacity (aged 18+), a legal entity or unincorporated entity using the Service.
  2. Consumer — a User who is a natural person entering into a legal transaction with the Service Provider unrelated directly to their business or professional activity (Art. 22¹ Civil Code).
  3. Entrepreneur with Consumer Rights (PNPK) — a natural person conducting business registered in CEIDG, entering into a contract directly related to their business where the contract is not of a professional nature for them.
  4. Entrepreneur — a User who is neither a Consumer nor a PNPK.
  5. Account — a registered User's space in the Service, accessible via email/password or OAuth (Google, Facebook).
  6. Service — each electronic service provided through the Platform, including prompt enhancement, image/video/music generation, workflow automation, social media scheduling, AI Brand Intelligence.
  7. Plan — a subscription package: FREE, SPARK, ACCELERATOR, PRO.
  8. Credits — internal billing unit. Monthly Credits (expire at end of billing cycle) and Bonus Credits (valid indefinitely).
  9. AI Content — content (text, image, video, audio) generated by AI systems based on the User's Prompt.
  10. Prompt — textual or multimedia instruction entered by the User to generate AI Content.
  11. Subscription — a paid contract for Digital Services concluded for a monthly or annual term, automatically renewed.

§3. Technical requirements

  1. Device with Internet access at minimum 1 Mbps.
  2. Up-to-date web browser (Chrome, Firefox, Safari, Edge — released within the last 24 months) with JavaScript and cookies enabled.
  3. Active e-mail address.

§4. Types and scope of services

The following Services are available within the Platform:

  1. prompt enhancement using AI models,
  2. image generation (incl. OpenAI, Together AI, Ideogram),
  3. video generation (incl. Replicate, Luma AI),
  4. music and narration generation (ElevenLabs),
  5. photo editing (incl. fal.ai),
  6. AI conversations (Anthropic, OpenAI),
  7. workflow automation,
  8. social media scheduling and publishing (Instagram, Facebook, TikTok, LinkedIn, Threads — via bundle.social),
  9. AI Brand Intelligence — brand communication analysis (from Proompi v2),
  10. Content Score — content quality assessment (from Proompi v2, ACCELERATOR+),
  11. Trend Intelligence — industry trend reports (from Proompi v2, PRO),
  12. Team Workspace — collaborative workspace (from Proompi v2).

§5. Conclusion of agreement

A free service agreement is concluded upon Account creation or OAuth login with acceptance of these Terms.

A paid service agreement (Subscription or Bonus Credits) is concluded upon successful payment via Stripe.

Use of the Service requires the User to be at least 18 years old. By creating an Account, the User declares they are at least 18 years old.

After successful payment, the User receives an email confirmation (durable medium) containing: Plan name, amount, date, cancellation conditions and access to these Terms.

§6. User account

  1. Account creation: via registration form (email + password + Terms acceptance) or via OAuth (Google/Facebook).
  2. Password should be at least 8 characters. The Service Provider stores passwords only as irreversible hash (bcrypt).
  3. One person — one Account (multiple accounts prohibited without Service Provider's consent).
  4. Users must keep their registration data up to date.
  5. If you suspect unauthorized access to your Account — change your password and notify us: hi@proompi.com.

§7. Payments, plans and credits

7.1. Pricing and currencies

Current Plan prices are available at https://www.proompi.com/pricing. Prices are quoted in PLN or USD. Prices for Consumers and PNPKs include VAT (where applicable).

7.2. Payment processor

Payment processing is provided by Stripe Payments Europe, Limited (Dublin, Ireland). The Service Provider does not store payment card data.

7.3. Subscriptions — renewal and cancellation

  1. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the billing period.
  2. Cancellation is possible at any time via the Stripe Customer Portal or by contacting hi@proompi.com.
  3. Upon cancellation, the Plan is downgraded to FREE at the end of the paid period. Monthly Credits expire; Bonus Credits remain.

7.4. Credits

  1. Monthly Credits: assigned at the start of each billing cycle; unused credits expire at cycle end.
  2. Bonus Credits: from one-time purchases, registration bonuses or referral bonuses. Valid indefinitely.
  3. Usage order: Monthly Credits → Bonus Credits.
  4. Credits are not electronic money; they cannot be withdrawn, exchanged for money or transferred to another User.

7.5. Invoices

Entrepreneurs receive electronic VAT invoices sent to their registered email address. By accepting these Terms, the User consents to electronic invoices.

§8. Returns and complaints

8.1. Complaints

Complaints can be submitted to: hi@proompi.com or in writing to our registered office. A complaint should include: User identification, description of the issue, and requested resolution.

Response deadline: 14 days. Failure to respond within this period constitutes acceptance of the complaint (Consumers and PNPKs only).

8.2. Service unavailability / outages

In the event of an outage lasting more than 24 hours in a billing cycle, Consumers and PNPKs are entitled to a proportional price reduction.

§9. Right of withdrawal (Consumers and PNPKs)

This section applies exclusively to Consumers and Entrepreneurs with Consumer Rights (PNPKs).

9.1. 14-day right of withdrawal

Consumers and PNPKs have the right to withdraw from a distance contract within 14 days without giving any reason and without incurring costs (subject to proportional settlement — §9.2).

To exercise the right of withdrawal, send a clear statement to: hi@proompi.com, our registered office, or using the Withdrawal Form (Annex 1) — use of the form is optional.

9.2. Proportional settlement

The Subscription activates immediately upon payment. In case of withdrawal, the Service Provider refunds the amount proportional to the unused portion of the Service.

Example: Consumer purchased SPARK Plan (PLN 49/month) on day 1. Filed withdrawal on day 8. Refund: PLN 49 × (30 – 7) / 30 ≈ PLN 37.57.

9.3. No exclusion of withdrawal right

The Service Provider does NOT exclude the right of withdrawal (pro-consumer variant A2). The Consumer retains the full right of withdrawal within 14 days — with proportional cost settlement.

§10. Intellectual property rights to AI Content

10.1. Legal status of AI Content

AI Content generated solely by artificial intelligence systems is not subject to copyright protection under Polish law (lacks individual human creative act).

10.2. Paid Plans (SPARK, ACCELERATOR, PRO)

The Service Provider grants Users with active paid Subscriptions an exclusive, worldwide, perpetual, irrevocable, fully paid-up license to use AI Content generated by such Users — including for commercial purposes, modification, sublicensing, transfer and public communication on all known fields of exploitation.

Expiry of the Subscription does not affect licenses to AI Content generated during the active Subscription period.

10.3. FREE Plan

FREE Plan Users receive a non-exclusive license limited to personal and non-commercial use. Commercial use requires upgrading to a paid Plan.

The Service Provider retains the right to showcase FREE Plan AI Content in public galleries. Training AI models on such content requires explicit opt-in consent (disabled by default).

§11. User rights and obligations

  1. Use the Service in accordance with these Terms, AUP, Privacy Policy, applicable law and good practices.
  2. Prohibition on providing unlawful content.
  3. Prohibition on technical abuse: circumventing limits, automated scraping, attacks on infrastructure, malware.
  4. In case of violations: warning, account suspension, immediate termination, content removal, reporting to law enforcement.

§13. Service Provider liability

13.1. Towards Consumers and PNPKs

Liability towards Consumers and PNPKs is governed by applicable mandatory law (including Chapter 5b of the Consumer Rights Act).

13.2. Towards Entrepreneurs

Liability is limited to the amount of fees paid by that Entrepreneur in the 12 months preceding the event. The Service Provider is not liable for lost profits, indirect damages, or interruptions caused by factors beyond its control (force majeure, sub-processor outages).

13.3. AI Content — no warranties

AI models may generate inaccurate or unexpected content. AI Content should not be used as the sole source for medical, legal or financial decisions. Users verify AI Content before use.

§14. Amendments to Terms

The Service Provider may amend these Terms upon changes to applicable law, the scope of Services, or new functionalities.

Users will be notified of changes at least 14 days before they take effect: via in-app notification and email.

Users who do not accept changes may terminate the agreement with effect at the end of the current billing cycle and request a proportional refund.

§15. Termination of agreement

15.1. By the User

Account deletion: /settings?tab=privacy. Subscription cancellation: per §7.3.

15.2. By the Service Provider

With 14 days' notice — for important reasons. With immediate effect — for material violations of the Terms, AUP or applicable law.

§16. Special provisions for Entrepreneurs

This section applies exclusively to Entrepreneurs (excluding PNPKs).
  1. No 14-day right of withdrawal from distance contracts.
  2. Warranty liability is excluded (Art. 558 §1 Civil Code).
  3. All disputes are subject to the court having jurisdiction over the Service Provider's registered office.
  4. Assignment of rights and obligations requires prior written consent of the Service Provider.

§17. Out-of-court dispute resolution

Consumers may use: the Permanent Consumer Arbitration Court at the Trade Inspection, mediation proceedings before the Regional Trade Inspector, or assistance from a consumer ombudsman or consumer organization.

§18. Final provisions

  1. Governing law: Polish law. This choice does not deprive Consumers of protection under mandatory provisions of the law of their country of habitual residence.
  2. Contract language: Polish. Versions in other languages are for information only — in case of discrepancy the Polish version prevails.
  3. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force.
  4. Jurisdiction for Consumers: court of the Consumer's place of residence or the court having jurisdiction over the Service Provider's registered office — at the Consumer's choice.

Annex 1 — Model Withdrawal Form

Complete and return this form only if you wish to withdraw from the contract.

Annex 2 — Information on the right of withdrawal

You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires after 14 days from the day the contract was concluded.

To exercise the right of withdrawal, send an unequivocal statement to: ENGIT sp. z o.o., ul. Stefana Jaracza 39, 33-100 Tarnów, Poland, e-mail: hi@proompi.com.

In the event of withdrawal, we will refund all payments proportionally to the unused portion of the Service (§9) — no later than 14 days after receiving your withdrawal statement, using the same payment method.
