Team Workspace Terms

§1. General Provisions
- These Terms govern the use of the Team Workspace feature available in the Proompi Service operated by ENGIT sp. z o.o. (ul. Stefana Jaracza 39, 33-100 Tarnów, Poland, KRS 0001109234) — hereinafter the "Service Provider".
- Team Workspace enables teams to collaborate on AI content: member invitations, roles, approval workflows, publication calendars, and team analytics.
- These Terms supplement the main Terms of Service (https://www.proompi.com/legal/terms). Matters not covered herein are governed by the main Terms.
- Use of Team Workspace requires an active Subscription Plan that includes this feature (typically ACCELERATOR+ or PRO; see the pricing page for current information).
§2. Definitions

| B2B Client | a Business within the meaning of the main Terms, using Team Workspace |
§3. The B2B Client as Data Controller for Team Members
- Where Team Workspace is used by a Business, the B2B Client is the data controller of the personal data of their Team members (employees, collaborators, sub-contractors), and the Service Provider acts as a data processor in relation to that data.
- Before first inviting a Team member, the B2B Client must: (a) accept the Data Processing Agreement (DPA) available in the Team Account panel; (b) inform their employees/collaborators about the processing of their data in Team Workspace (the Art. 13 GDPR information duty rests with the B2B Client as Controller).
- The Service Provider makes an information clause template for the B2B Client's employees available in the Team Account panel (for use by the B2B Client).
§4. How Team Workspace Works
4.1. Creating a Team
- Creating a Team is available to Users with an active Subscription Plan that includes Team Workspace.
- The User who creates the Team becomes its Owner (OWNER).
4.2. Member Invitations
- The Owner/Manager sends an invitation by providing the email address of the invitee.
- The invitee receives an email containing: an activation link with a token (valid for 7 days) and the Art. 13 GDPR information clause (Service Provider as controller of the invitee's data until they join the B2B Client's Team).
- Upon accepting the invitation, the person becomes a Team member with the role specified by the inviter.
- If the invitation is not accepted within 7 days, the record (including the email address) is automatically deleted.
4.3. Roles and Permissions (RBAC)

- Role changes are made in the Team management panel by the OWNER or MANAGER (within their respective permissions).
- Role changes take effect immediately (no caching).
4.4. Post Approval Workflow
- CREATOR creates a post → submits for approval.
- APPROVER/MANAGER/OWNER receive a notification and conduct a review.
- Possible decisions: APPROVED — post proceeds to publication; REJECTED — post rejected, requires revision; CHANGES_REQUESTED — changes required.
- Review comments are saved and visible to all participants in the workflow.
4.5. Leaving the Team / Removing a Member
- OWNER/MANAGER may remove a Team member at any time. The removed member loses access to Team content.
- Content created by the removed member remains in the Team (attributed to the B2B Client).
- Any member may leave the Team independently (except the OWNER — see §6).
§5. Billing
- The Team Workspace subscription is billed at Team level — fees are paid by the Owner (OWNER) or the designated B2B Client.
- Number of seats: the Team Plan includes a specified number of seats (active Team members). Current limits are available on the pricing page.
- Team Credits are shared among all members and managed by the OWNER/MANAGER.
§6. Team Dissolution / Ownership Transfer
- Team dissolution may be initiated by the OWNER via Team Settings → Dissolve Team.
- Ownership transfer: the OWNER may transfer ownership to another member (with MANAGER or OWNER role after change). Confirmation by the new OWNER is required.
- Effects of dissolution: (a) all Team content is deleted in accordance with the retention policy (Privacy Policy); (b) Team members lose access to Team content; (c) individual members' accounts remain unaffected.
§7. B2B Client Liability
- The B2B Client bears full responsibility for: (a) the acts and omissions of its Team members within the Service; (b) compliance of Service use with applicable law (including GDPR in relation to their employees); (c) content created and published by the Team; (d) ongoing information of employees about data processing rules.
- The B2B Client must ensure that each invited Team member has received the appropriate Art. 13 GDPR information clause (as the data controller of their employees'/collaborators' personal data).
- The B2B Client agrees to indemnify the Service Provider against claims from third parties (including their employees) arising from the B2B Client's breach of GDPR information obligations or other legal duties.
§8. Final Provisions
- Jurisdiction: the court having jurisdiction over the Service Provider's registered seat.
- Governing law: Polish law.
